Welcome to TutorOpsAI. These Terms of Service ("Terms") govern your access to and use of our website at tutorops.com, our interactive demos, and our paid AI automation services (together, the "Services"). By using the Services, you agree to these Terms.
If you are entering into these Terms on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
TutorOpsAI ("we", "us", "our") provides AI automation and growth services, including lead generation, AI receptionist, chatbots, reporting, workflow automation, and the SmartLearn AI adaptive learning platform for schools and colleges. Contact: tutoropsai@tutorops.com.
You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into an engagement with us. Educational institutions using SmartLearn AI on behalf of students under 18 must have the necessary permissions and consents in place.
You agree to provide accurate, current, and complete information when contacting us, submitting the demo forms, or engaging our Services. You are responsible for maintaining the confidentiality of any credentials we issue you and for all activity that occurs under those credentials.
The specific services, deliverables, timelines, fees, and payment terms for any paid engagement will be set out in a separate written proposal, statement of work, or order form ("SOW") agreed between us. In the event of any conflict between an SOW and these Terms, the SOW governs.
Our public website content and interactive demos are provided for informational and illustrative purposes. They do not constitute a guarantee of specific outcomes for your business.
Fees are as stated in the applicable SOW. Unless stated otherwise, invoices are due within 7 days of issue. Late payments may incur interest at 1.5% per month or the maximum permitted by law, whichever is lower. Taxes, where applicable, are your responsibility unless explicitly included.
Setup fees are generally non-refundable once work has commenced. Monthly retainers are billed in advance. Either party may terminate a monthly engagement with 30 days' written notice after the initial commitment period stated in the SOW.

Our AI systems often integrate with third-party tools (CRMs, messaging platforms, calendars, email providers, AI model APIs). Your use of those third-party services is governed by their own terms and pricing. We are not responsible for their availability or changes they make to their APIs or pricing.
Our IP: The TutorOpsAI name, logo, website, demos, code libraries, templates, and methodologies are our intellectual property. We retain all rights to any reusable tooling, frameworks, or pre-built components, including any enhancements to them developed during your engagement.
Your IP: Content and data you provide ("Your Materials") remain your property. You grant us a non-exclusive licence to use Your Materials solely to deliver the Services.
Client-specific deliverables: Upon full payment, you receive a non-exclusive, perpetual licence to use the custom-built deliverables we produce for you for your internal business purposes. Unless explicitly stated in the SOW, ownership of custom code and configuration is assigned to you upon full payment, excluding our reusable tooling and any third-party components.
Each party agrees to keep the other's non-public information confidential and use it only to perform under these Terms. This obligation continues for 3 years after the engagement ends. It does not apply to information that becomes public through no fault of the receiving party, was independently developed, or is required to be disclosed by law.
We will perform the Services with reasonable skill and care. Except as explicitly stated in these Terms or an SOW, the Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted, error-free, or will produce specific business outcomes, since outcomes depend on many factors outside our control (traffic, conversion rates, market conditions, your execution, third-party platform behaviour).
AI outputs are probabilistic. You are responsible for reviewing and approving AI-generated content before it is sent to your customers or used in decision-making.
To the maximum extent permitted by law, TutorOpsAI will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or related to the Services shall not exceed the fees paid by you to us in the 6 months preceding the claim.
You agree to indemnify and hold us harmless from any third-party claim arising out of your breach of these Terms, your misuse of the Services, or Your Materials infringing a third party's rights.
Either party may terminate an engagement for material breach if the breach is not cured within 15 days of written notice. Sections intended to survive termination (including IP, confidentiality, limitation of liability, and indemnification) will continue to apply.
On termination, we will provide you a final copy of your deliverables and data, subject to payment of any outstanding invoices.
These Terms are governed by the laws of India. Any disputes will first be attempted to be resolved through good-faith discussion. If unresolved within 30 days, they will be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
For clients based outside India, we are happy to discuss mutually acceptable alternative jurisdiction clauses as part of the SOW.
We may update these Terms from time to time. Material changes will be notified via the website or email. Your continued use of the Services after changes take effect constitutes acceptance.
